1. Additional terms to a ucc contract: 2-207: when are additional terms (not made expressly conditional) part of the contract?

Sometimes, there is no legal requirement of written evidence of an alleged modification of a written contract. Resolve any legal issue of whether such written evidence of the modification is needed by (1) looking at the deal with the alleged change and (2) determining whether the deal with the alleged change would be within the statute of frauds. If the deal with the alleged change would be within the statute of frauds, then the alleged modification agreement must be in writing.
A. Partners are liable for their own debts and torts. - B. Partners are not liable for partnership debts, directly or by way of contribution or indemnification.
If at least one is not a merchant, the additional terms are *merely a proposals* that may be accepted or rejected. If, however, both parties are merchants, the general rule is that the additional term is a part of the contract. There are two important bar exam exceptions to this general rule: - (1) the additional term is not a part of the contract between merchants if it materially changes the offer or - (2) the additional term is not a part of the contract between merchants if the offeror objects to the change.
