Estoppel: means to stop or bar or prevent something. 1.) Res judicata: thing judicially acted upon and decided on. Prevents same parties from re-litigating same cause of action. Formal Definition: thing has been decided; a matter has been adjudged. Doctrine by which a 'final judgment by a court of competent jurisdiction is conclusive upon the parties in any subsequent litigation involving the same cause of action'.. The policy underlying the doctrine of res judicata is one of repose, the same policy which is reflected in statute of limitations which outlaws stale claims.
ex. Plaintiff sues defendant in fed court loses. Plaintiff sues in state court. To successfully assert Res Judicata party must show four things: 1.) Same claim COA pursued: Broadly defined by courts. Best to join all claims to claim you are initially seeking. If you don't may lose ability to sue for claim later. Ancillary jurisdiction: supplemental jurisdiction; 2.) Same parties: real parties and interest. Can't have parent sue on behalf of minor and then minor turn and sue when an adult. 3.)Decided by court in final judgment: temp orders. Tempt injunction. Would not be final judgment. (out of court settlements either) 3.) Based on the merits: substance of the case not dismissed or technical/procedural reason.
Corporations have duel citizenship. One in state of incorporation and one in the principle place of business.
